A Public Limited Company or also known as Berhad or Bhd. can be incorporated or converted from a private limited company/ Sdn. Bhd. in Malaysia. Most of the businesses is started from a Sdn. Bhd. and converted to Berhad for business expansion. As a Sdn. Bhd. has restriction on its numbers of shareholders or members up to 50 persons, most of the Companies will opt for Berhad as their option when there are more than 50 shareholders or members.

Unlike Sdn. Bhd., a Public Limited Company cannot start its business immediately after the Company Registration Certificate is issued. It must first submit for an application for a Certificate to Commence Business to SSM and if successful, the Company will be issued with a Certificate to Commence Business.

A Berhad Company may also choose to be listed on the Malaysia stock exchange market, i.e. Bursa Malaysia Securities Berhad, of which the Company may exercise the initial public offering (“IPO”), which allows a company to raise equity capital from public investors, following compliance issued by the Securities Commission of Malaysia.

Requirements to set up a Berhad

At least 2 Directors, 18 years old and above, of which 1 of the Directors is ordinarily reside by having a principal place of residence in Malaysia

At least 2 individual Shareholders, 18 years old and above (can also be the director); OR Corporate Shareholders

Directors must not be a bankruptcy/ convicted a serious offence within or outside Malaysia

Appoint a Company Secretary who is qualified under professional bodies or licensed by SSM

Share capital – as low as RM2.00 paid up capital
